Terms and Conditions

All terms and conditions form part of our clients contracts and may vary from client to client. For a full copy of our contract, contact our team at build@artfulandarches.com. A general overview of our terms and conditions are stated below:

1. Introduction

a. These terms and conditions ("Terms") constitute a legally binding agreement between Artful and Arches Ltd ("Service Provider") and the client ("Client") specified herein.

b. By accessing or using the services provided by Artful and Arches Ltd, the Client agrees to be bound by these Terms. If the Client does not agree to these Terms, they must refrain from using the services.

2. Services

a. The Service Provider agrees to provide the Client with the services ("Services") outlined in this agreement commencing from the date specified herein.

b. The Services shall be performed by the Service Provider's designated personnel or sub-contractors as outlined in the agreement.

c. The Client acknowledges that alterations to the scope of work may result in additional costs, invoiced accordingly.

3. Fees and Payments

a. The Client agrees to pay the Service Provider the fees ("Fees") as specified in this agreement.

b. Fees shall be paid within the period specified in the agreement upon receipt of an invoice.

c. The Service Provider may charge for reasonable expenses incurred in performing the Services, subject to agreement from the Client.

4. Client's Obligations

a. The Client agrees to cooperate with the Service Provider and provide necessary information and documentation as reasonably required.

b. The Client shall ensure that the facilities required by the Service Provider for the provision of Services are made available in a timely manner.

5. Ownership and Intellectual Property

a. Any intellectual property rights generated as a result of the Services provided under this agreement shall belong to the Client unless otherwise agreed.

6. Confidentiality

a. Both Parties agree to maintain the confidentiality of information exchanged during the provision of Services.

b. Confidential information shall not be disclosed to third parties without prior written consent from the disclosing Party.

7. Indemnity

a. The Client agrees to indemnify and hold harmless the Service Provider against any loss, damage, or liability arising from the provision of Services under this agreement.

8. Warranties and Liability

a. The Service Provider warrants to perform the Services with reasonable care and skill.

b. Neither Party shall be liable for any indirect or consequential loss, except where prohibited by law.

9. Termination

a. This agreement may be terminated by either Party in accordance with the termination provisions outlined herein.

b. Upon termination, the Client shall pay for all Services provided up to the date of termination and any outstanding expenses.

10. General

a. These Terms constitute the entire agreement between the Parties regarding the provision of Services and supersede any prior agreements or understandings.

b. Any amendments to this agreement must be made in writing and signed by both Parties.

11. Law and Jurisdiction

a. These Terms shall be governed by the laws of England and Wales and subject to the exclusive jurisdiction of the courts of England and Wales.

12. Third Parties

a. These Terms do not confer any rights on third parties under the Agreements (Rights of Third Parties) Act 1999.

By using the services provided by Artful and Arches Ltd, the Client acknowledges that they have read, understood, and agree to be bound by these Terms and Conditions.
